Provider Agreement
Between Prada & Skye LLC ("Prada & Skye") and
(the "Partner").

1. BUSINESS DESCRIPTION
This agreement involves a cooperative arrangement between Prada & Skye,
located at URL http://www.healingisnow.com (the "Prada & Skye Site"), and the
Partner, located at URL http:// (the "Partner Site").
2. WEB LINKS
Prada & Skye and the Partner will establish reciprocal links between the
Prada & Skye Site and the Partner Site. Such links may take the form of a graphic
with a text link, an icon link or a textual link. The forms of the links and
their placements shall be mutually determined by the parties and authorized by
written approval (email sufficient).
The Partner will establish and maintain links to the Prada & Skye Site from
the following sections and/or pages of the Partner Site:

Neither party may create a browser or border environment around the other's
content. Each party may link to, but not replicate, the other's content.
The Partner understands that Prada & Skye may develop similar agreements with
other third parties. Nothing in this agreement will prevent Prada & Skye from
developing such agreements or providing comparable services for others.
3. SALES
Each party will track and maintain records of those visitors to its website
(the "Referred Site" owned by the "Referred Party") who enter via the link(s)
on the other party's website (the "Referring Site" owned by the "Referring
Party"). Such data shall be made available to the Referring Party upon its
reasonable request. In the event that any such visitor makes a purchase on the
Referred Site during the visit to the Referred Site that followed its
clicking-through from the Referring Site, the Referring Party shall receive a
commission payment equal to 20% of the total price (before taxes and shipping) of such purchase (the "Commission"). Notice of such sales shall be delivered to the
Referring Party within a reasonable time of each such sale, and payment of
the Commission shall be due and payable to the Referring Party within 30 days of
the Referred Party's receipt of payment from the visitor.
4. RIGHTS
Nothing in this agreement shall be construed as granting to a party a license
or any other rights in or to any of the intellectual property of the other
party. Neither party shall alter or remove any copyright, trademark or other
proprietary notice or legend of the other party on any software, documentation,
graphics or other material provided or delivered by such other party.
5. GENERAL PROVISIONS
This agreement will be binding upon the parties and their respective
successors and assigns. Any amendment, waiver or termination of any provision of this agreement will require the written consent of both parties. Either party may
terminate this agreement at any time by delivering written notice to the
other party (provided that the obligation to pay any Commissions earned but not
yet paid at the time of such termination will survive any such termination).
Nothing in this agreement may be construed as creating or constituting a
partnership, joint venture or agency relationship between the parties. The parties
are independent contractors and will have no power or authority to assume or
create any obligation or responsibility on behalf of each other. This agreement
shall be governed by the internal laws of the State of Ohio, without regard
to its conflicts of law principles.
